Legal Agreement and Binding Nature

These Terms and Conditions constitute a legally binding agreement between you (the "User" or "Student") and ParisBridge Academy (the "Company," "we," "us," or "our") governing your use of our French language education services, website, and related offerings.

By accessing our website, enrolling in our courses, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our services.

User Obligations and Responsibilities

1. Legal Compliance

As a user of our services, you agree to:

  • 1.3 Refrain from any activity that could harm, disable, or impair our services or interfere with other users' access

2. Conduct Requirements

Users must maintain appropriate conduct standards:

  • 2.1 Treat instructors, staff, and fellow students with respect and courtesy at all times
  • 2.2 Refrain from harassment, discrimination, or offensive behavior based on race, gender, religion, nationality, or any other protected characteristic
  • 2.3 Attend scheduled classes punctually and notify us in advance if unable to attend
  • 2.4 Participate actively and constructively in course activities and discussions
  • 2.5 Complete assignments and coursework as required by the curriculum

3. Content Guidelines and Restrictions

When using our services, you agree not to:

  • 3.1 Post, transmit, or share any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • 3.2 Distribute spam, unsolicited advertising, or promotional materials
  • 3.3 Share content that infringes upon intellectual property rights of others
  • 3.4 Reproduce, distribute, or publicly display our course materials without authorization

4. Age Restrictions and Requirements

By using our services, you represent and warrant that:

  • 4.1 You are at least 18 years of age, or if under 18, you have obtained parental or guardian consent
  • 4.2 You have the legal capacity to enter into binding contracts
  • 4.3 All information you provide during registration is accurate, current, and complete

5. Indemnification Obligations

You agree to indemnify, defend, and hold harmless ParisBridge Academy, its officers, directors, employees, instructors, and agents from any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your violation of these Terms and Conditions or your use of our services.

Liability Limitations and Warranties

1. Disclaimer of Warranties

1.1 "As Is" Provision: Our services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

1.2 No Learning Guarantees: We do not warrant or guarantee any specific learning outcomes, language proficiency levels, examination results, or career advancement. Individual results depend on numerous factors including student effort, dedication, prior knowledge, and natural aptitude.

1.3 Service Availability: We do not guarantee that our services will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.

1.4 Accuracy of Information: While we strive for accuracy, we do not warrant that information provided through our services is complete, reliable, current, or error-free.

2. Limitation of Liability

2.1 Exclusion of Damages: To the maximum extent permitted by law, ParisBridge Academy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use or inability to use our services.

2.2 Maximum Liability Cap: Our total liability to you for all claims arising from or related to our services shall not exceed the amount you paid to us for the specific service giving rise to the claim during the twelve months preceding the claim.

2.3 Third-Party Services: We are not responsible for any damages or losses caused by third-party services, websites, or products that you may access through our platform.

2.4 Student Conduct: We are not liable for damages arising from interactions between students or from student conduct outside our direct supervision.

3. Consequential Damages Exclusion

Under no circumstances shall ParisBridge Academy be held liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, or technical failures. This provision applies even if we have been advised of the possibility of such damages.

4. Force Majeure Provisions

We shall not be liable for any failure to perform our obligations when such failure results from:

  • Natural disasters (earthquakes, typhoons, floods, etc.)
  • Pandemics or public health emergencies
  • Government orders or restrictions
  • Technical failures beyond our control
  • Instructor illness or unavailability

Privacy and Data Protection

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms and Conditions by reference. By using our services, you consent to our collection, use, and disclosure of personal information as described in our Privacy Policy.

You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach.

Legal Information and Dispute Resolution

1. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan, without giving effect to any principles of conflicts of law. You agree that any legal action or proceeding arising from or related to these terms shall be brought exclusively in the courts located in Tokyo, Japan, and you consent to the personal jurisdiction of such courts.

2. Dispute Resolution Procedures

In the event of any dispute, controversy, or claim arising out of or relating to these Terms and Conditions:

  • 2.1 The parties agree to first attempt to resolve the dispute through good-faith negotiation and direct communication
  • 2.2 If negotiation fails, the parties may pursue mediation through a mutually agreed mediator
  • 2.3 Only after exhausting negotiation and mediation may either party pursue formal legal proceedings

3. Severability Clause

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent. If such modification is not possible, the invalid provision shall be severed, and the remaining provisions shall continue in full force and effect.

4. Terms Modification Policy

We reserve the right to modify, amend, or update these Terms and Conditions at any time at our sole discretion. We will provide notice of material changes by posting the updated terms on our website with a new "Last updated" date and, when appropriate, by sending email notifications to registered users. Your continued use of our services following such changes constitutes your acceptance of the modified terms.

5. Waiver

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any other legal notices or agreements published on our website or provided to you in writing, constitute the entire agreement between you and ParisBridge Academy concerning your use of our services.

These terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and ParisBridge Academy regarding the subject matter herein.
